Application The general terms described below shall apply between GOmeasure (CVR: 38375962) and the Customer, unless otherwise agreed upon in writing. "Products" mean hardware, software, and/or services specified in our offers, order confirmations, proforma invoices, or invoices issued by GOmeasure to which these terms are attached. The Products are sold (or offered for sale in the case of an offer) by GOmeasure to the customer. This is applicable regardless of what the customer may have written in their order or acceptance of the offer and regardless of any special conditions made by the customer, for example, in the customer's general terms of purchase. GOmeasure cannot be held responsible for whether the Customer complies with Danish and international legislation, including copyright, personal data law, and criminal law, nor shall GOmeasure advise on or control the Customer's compliance with them.
Prices and Validity Unless otherwise stated in the offer, all prices are in DKK and excluding VAT, import duties, and other taxes and charges. Prices are subject to change considering changes in material prices, prices from subcontractors, changes in public duties, and other factors.
Transport and Insurance Costs to Denmark and Sweden Unless otherwise agreed, the costs of transport and insurance to Denmark and Sweden are borne by the customer. Deliveries are made according to the latest version of Incoterms EXW, unless otherwise agreed upon.
Currency Fluctuations > +/- 2% In the event of an offer, GOmeasure is entitled to adjust prices if the official exchange rate at the time of delivery deviates more than 2% from the exchange rate on the date the offer was sent. The latter currency is set at 100.
Payment Terms Unless otherwise agreed in writing, payment shall be made 30 days net from the invoice date. If another agreement on payment has been made, and payment is not made by the Due Date, GOmeasure is entitled to default interest of 1% per month on the amount due from the due date, as well as a reminder fee of 100.00 DKK. GOmeasure retains ownership of products purchased on credit until the full purchase price is paid. All costs associated with enforcing the retention of title shall be borne by the buyer.
Delivery Time Unless otherwise agreed, delivery shall take place as soon as possible. GOmeasure may demand a postponement of the delivery time in the following cases: a) Upon changes to the order at the customer's request b) Upon changes to the expected delivery time from subcontractors c) In the event of force majeure
Deficiencies GOmeasure's liability only covers deficiencies that arise within 1 year from the day the product was delivered. GOmeasure's obligation to remedy deficiencies is conditional upon the buyer proving that the delivered product is defective and documenting that the material has been stored, installed, used, and maintained correctly and in accordance with the regulations provided by the manufacturer of the product. Furthermore, GOmeasure assumes no further liability for the delivered product, therefore the buyer cannot rescind the purchase, claim proportional reduction or compensation, or withhold the purchase price in whole or in part. Under no circumstances shall GOmeasure be liable for advice, dimensioning, and design provided by third parties.
Product Liability GOmeasure is not liable for damage caused by the product: a) To real property or movable property occurring while the product is in the customer's possession, b) To products manufactured by the customer, or to products in which these are included, or for damage to real property or movable property caused by these products as a result of the material. In no event shall GOmeasure be liable for operating loss, lost profits, or any other economic consequential loss. If a third party makes a claim against one of the parties for liability under this section, that party shall immediately notify the other party thereof.
Limitation of Liability In no event shall GOmeasure be liable for operating loss, lost profits, or any other economic consequential loss.
